Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Meridian platform, FundSim Lab, and related services (collectively, the “Services”) provided by PrivateMetrics Group Inc. (“PrivateMetrics,” “we,” “our”). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

The Services are intended for institutional investors, investment professionals, and their authorized representatives. You must be at least 18 years old and authorized to bind your organization to these Terms. Individual retail investors should not rely on the Services for personal investment decisions.

2. Account Registration

Access to the Meridian platform requires an account. You agree to provide accurate information during registration and to keep your credentials confidential. You are responsible for all activity under your account. Notify us immediately at hello@privatemetrics.ai if you suspect unauthorized access.

3. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable regulation
  • Attempt to reverse-engineer, decompile, or extract source code from the platform
  • Circumvent rate limits, access controls, or authentication mechanisms
  • Scrape, crawl, or harvest data from the Services by automated means
  • Resell, sublicense, or redistribute platform outputs without prior written consent
  • Upload malicious code, interfere with service availability, or probe for vulnerabilities without authorization

4. Intellectual Property

All content, software, models, documentation, and branding associated with the Services are the property of PrivateMetrics Group Inc. or its licensors. Your subscription grants a limited, non-exclusive, non-transferable license to use the Services during the subscription term. You retain ownership of your data.

5. FundSim Lab & Simulation Outputs

FundSim Lab provides computational fund modeling tools for educational and analytical purposes. Simulation outputs are projections based on user-supplied assumptions and are not investment advice, forecasts, or guarantees of future performance. Actual results will differ materially. Users should apply independent judgment and consult qualified advisors before making investment decisions.

6. Data & Confidentiality

Data you upload to the platform remains your property. We process it solely to provide the Services and as described in our Privacy Policy. Each organization's data is logically isolated in dedicated database schemas. We do not share your data with other customers or use it to train AI models.

7. Subscription & Payment

Paid subscriptions are billed annually or as agreed in your order form. Fees are non-refundable except as required by law. We may adjust pricing with 60 days' notice before your renewal date. Failure to pay may result in suspension of access.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted access. Planned maintenance windows will be communicated in advance. We are not liable for disruptions caused by factors beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, PrivateMetrics shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or investment returns, arising from your use of the Services. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless PrivateMetrics, its officers, directors, and employees from any claims arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate access immediately for material breach of these Terms. Upon termination, you may request an export of your data within 30 days, after which we may delete it.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
